By accessing or using ExcelForge ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service. These terms apply to all visitors, users, and others who access or use ExcelForge.

2. Description of Service

ExcelForge is an AI-powered spreadsheet generation platform that allows users to create Excel (.xlsx) files through natural language prompts. The Service includes file generation, editing tools, VBA macro generation, AI chat assistance, and file management features.

3. User Accounts

To access certain features, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. ExcelForge cannot be held liable for any loss or damage arising from your failure to comply with this obligation.

4. Subscription Plans and Credits

ExcelForge offers both free and paid subscription plans. Free plan users receive a limited number of credits per month. Paid plans (Starter, Pro, Business) provide higher credit limits and additional features as described on our Pricing page. Credits reset monthly and unused credits do not carry over to the following month. Subscription fees are billed in advance on a monthly or annual basis and are non-refundable except as described in our Refund Policy.

5. Acceptable Use

You agree not to use the Service to:

• Generate content that is illegal, harmful, threatening, abusive, or otherwise objectionable
• Infringe the intellectual property rights of others
• Attempt to reverse-engineer, decompile, or extract the underlying AI models or source code
• Use automated tools (bots, scrapers) to access the Service at scale
• Share or resell access to your account with third parties
• Circumvent or bypass usage limits or rate restrictions

We reserve the right to suspend or terminate accounts that violate these terms.

6. Intellectual Property

The files and spreadsheets you generate using ExcelForge are yours. You retain full ownership of your output. ExcelForge retains all rights to the platform, its AI models, user interface, and underlying technology. You grant ExcelForge a limited, non-exclusive license to process your prompts solely for the purpose of generating your requested files.

7. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. ExcelForge does not warrant that the Service will be uninterrupted, error-free, or that the generated files will meet your specific requirements. AI-generated content may contain errors; always review generated files before using them for critical purposes.

8. Limitation of Liability

To the fullest extent permitted by applicable law, ExcelForge shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of the Service. Our total liability to you for any claim arising from these Terms shall not exceed the amount you paid to ExcelForge in the 12 months preceding the claim.

9. Modifications to the Service

ExcelForge reserves the right to modify or discontinue any part of the Service at any time, with or without notice. We will make reasonable efforts to inform users of significant changes. Continued use of the Service after changes constitutes your acceptance of the new terms.

10. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws. Any disputes arising under these Terms shall be resolved through good-faith negotiation. If a dispute cannot be resolved amicably, it shall be submitted to the competent courts of the jurisdiction where ExcelForge operates.
